Fernando is the principal and managing partner of the firm, with more than 17 years of experience and his practice focuses on foreign investment in Mexico. His work includes Corporate Law, Mergers and Acquisitions, Securities Law, Mining Law, Foreign Investment, International Operations, Associations, Banking and International Investments, as well as Corporate Litigation.


During his professional career, he has represented and advised legally recognized national and multinational companies in the mining, energy, and financial services sectors, among others.

Most Important Transactions

__ Mergers and acquisitions in Mexico recorded 112 transactions through May 2019: the ranking of legal advisors, by

     amount, was led by Todd & Asociados with US $ 1,005.90 million.

__  Leagold Mining’s $350 million acquisition of Los Filos from Goldcorp: Leagold Mining Corporation (TSX-V: LMC.H)

     (“Leagold”) has entered into a binding sale and purchase agreement with Goldcorp Inc. (“Goldcorp”) to acquire the

      Los Filos Gold Mine in Guerrero State, Mexico for US$350 million through the purchase of Goldcorp’s Desarrollos

      Mineros San Luis S.A. de C.V. (“DMSL”) subsidiary. Todd y Asociados has advised Goldcorp Inc. with Fernando Todd

      Dip and Jorge García Díaz.
 

__ First Majestic Silver Corp.’s $2.1 million public offering: First Majestic Silver Corp. launched a public bid on $2.1

     Million Shares on the mexica stock exchange market. Todd y Asociados advised First Majestic Silver Corp. on the

     transaction with a team led by Fernando Todd (Picture) and including Jorge García.


__ Teck Resources’s $50 million acquisition of Goldcorp’s interest in San Nicolás: Teck Resources Limited (TSX: TECK.A

   and TECK.B, NYSE: TECK) (“Teck”) today announced that its Mexican subsidiary has entered into a binding agreement

    with a subsidiary of Goldcorp Inc. to purchase its 21% minority interest in the San Nicolás Project located in

    Zacatecas, Mexico for cash consideration of US$50 million. On completion of the transaction Teck will own 100% of

    the San Nicolás Project. Todd y Asociados advised Goldcorp Inc. with Fernando Todd (Picture) and Jorge García.
 

__ Orla Mining Ltd.’s $31.9 million acquisition of Camino Rojo: Orla Mining Ltd. finalized an asset purchase agreement

     with Goldcorp Inc. to acquire the Camino Rojo Project, a gold and silver oxide heap leach project containing 1.7

     million ozs of gold reserves* located in Zacatecas State, Central Mexico for consideration to Goldcorp consisting of

    31.9 million common shares of Orla and a 2.0% NSR. Todd y Asociados advised Goldcorp with Fernando Todd, Jorge

    García and Jesús Bueno.
 

__ First Majestic Silver Corp’s acquisition of 100 % stake in Primero Mining: The Bank of Nova Scotia has granted to

     First Majestic a $75 Million Loan to partially finance the acquisition. In Mexico, Todd y Asociados advised First

     Majestic Silver Corp. with Fernando Todd Dip, Jorge García Díaz and Jose Carlos Pizaña Ramírez.
 

__ Marcas de Renombre’s $5,85 million acquisition of Efma Associados’ stake in Mdr Pharma: Marcas de Renombre, SA

     de CV, executed the acquisition of Efma and Associates Interest in MDR Pharma, SAPI de CV. for a total amount of $

    112 million pesos. Todd advised Marcas de Renombre, SA de CV, in the structuring, negotiation and preparation of

     the documentation for the transaction with a team including Fernando Todd Dip and José Carlos Pizaña.
 

__ Newmont acquires Minera Peñasquito for USD 1,000 million from Goldcorp: Minera Peñasquito owns and operates

    the Peñasquito Mine, located in Mazapil, Zacatecas, Mexico. The acquisition of the mining company by Newmont

    Mining is part of a larger operation consisting in the absorption of Goldcorp (see related transaction).
 

__ Yogome closes a financing round of USD 6.6 million: Yogome, a startup based in Mexico City, closed a financing

    round of USD 6.6m, led by Spain's Seaya Ventures, with USD6m, and in which the Mexican VARIV Capital, and the

    American Endeavor Catalyst have participated. Yogome is a company that operates in the technology sector,

    dedicated to the development of educational video games. The company will use the investment received to reach

    one million subscribers and expand its business to China, Korea and Japan.
 

__ Terra Plata Mine: Sundance Minerals, a Canadian mining company, has acquired 100% of the share capital of Minera

     Terra Plata, a subsidiary of the Canadian company First Majestic Silver Corp. The financial details of the operation

     have not been made public. Minera Terra Plata, based in Sonora (Mexico), is dedicated to the exploitation of mining

     resources in the region, mainly gold and silver. With this acquisition, Sundance Minerals has 14 properties

     throughout Mexico.
 

__ San Dimas Mine: Canadian mining company Primero Mining has acquired 100% of the Mexican gold mining assets

    San Dimas Mine, rich in gold and zinc, owned by the also mining company Goldcorp. In exchange for the mining

    assets, Goldcop receives USD 326m plus 31,151,200 shares of Primero Mining representing 36% of its capital stock.
